Lateral Partner, Taxation & Estates

Meister Seelig & Fein LLP is actively seeking a lateral partner to expand our Taxation & Estates practice. Formed 25 years ago,  Meister Seelig & Fein LLP continues to grow in our in our core practice areas: commercial litigation, commercial real estate, taxation & estates, criminal defense and employment. We are particularly interested in hearing from ambitious, entrepreneurial and experienced attorneys with a significant portable book of business with growth potential.

The perfect Taxation & Estates candidate should have extensive experience in complex trust and estate planning and administration, including fiduciary tax and accounting, gift and estate tax return preparation, estate controversies and audits and complex valuation issues. Must have experience with estate and wealth planning for high net worth individuals and families and will be able to advise on income tax, transfer tax and charitable planning and pass-through entity and business succession planning.   The candidate should also have broad experience in Federal tax planning matters relating to individuals and entities, as well as transactional matters.

LL.M. in taxation is required and New York Bar admission is required (admission to Connecticut, Massachusetts, Florida or New Jersey is a plus).

Senior Attorney, Transactions, Commercial Real Estate

We are searching for a senior-level transaction attorney who can work independently and has very strong experience. The ideal candidate has proven experience representing clients on (i) a wide range of real estate matters, including the acquisition, development, financing, leasing and management of retail, office, industrial, hospitality, residential and mixed-use real estate assets, (ii) joint ventures and partnerships. The ideal candidate will also be expected to focus on conveyancing and borrower side financing and be able to thoroughly review loan documents.

Mid-Level Associate, Corporate Securities

Meister Seelig & Fein is actively seeking a Mid-Level Associate (5-8 years) to join our Corporate practice, focusing on Securities. Formed 25 years ago,  Meister Seelig & Fein continues to grow in our core practice areas: commercial litigation, commercial real estate, taxation & estates, criminal defense and employment.

The Corporate Securities Associate will have hands-on experience with:

  • All aspects of private placements (ideally from both issuer and placement agent sides), including SEC reporting, blue sky compliance and issuer disclosure document preparation;
  • Public company legal representation, including assisting in preparing and filing all SEC reports and proxy compliance; and
  • Corporate governance compliance, including for OTC, NASDAQ and NYSE listed companies.

Additional experience, but not a requirement, would be:

  • experience in communicating with boards and committees; and
  • experience with M&A and strategic transactions

Paralegal, Corporate 

Meister Seelig & Fein is actively seeking a Paralegal (3-5 years) to join our Corporate practice. Formed 25 years ago,  Meister Seelig & Fein continues to grow in our core practice areas: commercial litigation, commercial real estate, taxation & estates, criminal defense and employment.

Responsibilities:

  • Assist with drafts and review of agreements and correspondence regarding to joint ventures, financings and acquisitions;
  • Provide support for general corporate governance matters;
  • Organize corporate records and conduct due diligence reviews;
  • Provide paralegal support to the broader Corporate Legal group as needed.

Qualifications:

  • Significant corporate law experience;
  • Minimum of 3 years of relevant experience with a law firm strongly preferred;
  • Self-starter who can work with minimal supervision;
  • Superior organization skills and attention to detail;
  • Excellent communications skills;

Director of Billing

Meister Seelig & Fein is seeking an experienced Director of Billing to join their New York office. The Billing Director’s primary role will be:

Responsibilities:

  • Engagement: Responsible for client and matter setup, conflict checks, including onboarding for new attorneys and any clients they may bring with them.
  • User Setup: Responsible for new employee set up in financial system.
  • Billing: Responsible for creating draft invoices (prebill), edits to invoices, invoice issuance via email, e-billing and e-billing platforms and set up.
  • Accounts Receivable: Receive and enter all deposits and maintain origination charts
  • Escrow: Handle all aspects of escrow (deposits, disbursements, balancing accounts)
  • Collections: Work with collection manager when needed.
  • Provides professional leadership to the Firm’s billing and accounts receivable department.
  • Operates an automated billing system, in co-operation with other groups and departments
  • Drives efforts of the Firm in all aspects of billing and provide attorneys with financial information regarding clients, cash receipt and support to attorneys, valuation of work in process, accounts receivable
  • Escrow: Provide all information regarding escrow wires and disbursements (including set up of wires); balance all escrow accounts
  • Prepare various financial reports for attorneys, clients, court hearings, etc.
  • Monitors policies and guidelines established by Firm by identifying timekeepers who have not complied with the Firm’s financial guidelines.
  • Acts as a mediator to resolve issues with clients such as problems with invoices or with legal services provided by the Firm’s legal professionals. As an objective observer, this position will meet with the lawyer/management team to review and resolve the client’s problem.
  • Responsible for hiring, training and managing daily duties of a team of two Billing Specialists.

Qualifications:

Experience: The position requires a minimum of 2-5 years of billing/accounts receivable or an equivalent combination of education, training and experience.

Knowledge and Skills:

  • Thorough understanding of the billing and accounts receivable process.
  • Superior oral / written communication and interpersonal skills are required to communicate with a number of various contacts, particularly in dealing with legal professionals and clients diplomatically
  • Proven skills in building a team and a culture of exceptional client service to demanding professionals and their practice assistants and clients
  • Lead, develop, and motivate staff in a high pressure and always changing work environment
  • Sound judgement and analytical skills are required for decisions regarding account status
  • Good knowledge of document management system (iManage – a plus), financial system (SurePoint – a plus) MS Excel, MS Word
  • Basic knowledge of accounting principles and concepts
  • Time management skills in order to efficiently multi-task
  • Superior organizational abilities to develop tracking mechanisms to manage a high volume of tasks
