Gary Eaton is an associate in the Corporate Department. Mr. Eaton's practice involves representing and advising private and publicly traded companies as well as, investment funds in corporate and securities transactions and general corporate matters. Mr. Eaton has assisted private companies in going public through reverse mergers, direct public offerings and self-filings. Further, Mr. Eaton advises public companies regarding compliance with their 1934 Exchange Act requirements, including all periodic filings on Forms 10-K, 10-Q and 8-K, as well as, other regulatory and national exchange filing requirements with the SEC, FINRA, NASDAQ and AMEX. Additionally, Mr. Eaton counsels public companies in connection with raising capital through the use of Private Investment in Public Entity (PIPE) transactions, Regulation D and S offerings.
Mr. Eaton graduated from the University at Buffalo and Rutgers School of Law- Newark. While in law school Mr. Eaton interned at the New Jersey Bureau of Securities. Mr. Eaton is admitted to practice in the State of New York.
