David Moss

Real estate and corporate law

Mr. Moss joined Meister Seelig & Fein LLP in January of 2005 and currently practices in the areas of real estate and corporate law. He has extensive experience in the representation of owners, operators, developers and lenders in the acquisition, development, disposition, finance and leasing of real estate assets. His corporate experience includes the preparation and negotiation of joint venture, contribution and indemnity and other corporate agreements. Mr. Moss graduated cum laude from Albion College in 1996 and from The George Washington University School of Law in 1999 where he was a member of the Moot Court Board. Mr. Moss resides in Manhasset, New York with his wife, Jennifer, their son, Jake, and daughter Julia.

Some representative transactions in which Mr. Moss has been involved with are:

  • Represented lender in workout and restructure of subordinate construction loan with senior lender and borrower;
  • Represented developer in ground lease development project;
  • Represented syndicate in $93,000,000 acquisition and sale leaseback of 70 acre office park with mortgage and mezzanine financing;
  • Represented developer in connection with $1,300,000,000 acquisition of New York City Class A office building with mortgage and mezzanine financing;
  • Represented REIT in connection with $240,000,000 acquisition of office building and fee and leasehold debt;
  • Represented developer in connection with $32,000,000 sale of office building with defeasance of underlying mortgage;
  • Represented developer in connection with $120,000,000 tax-structured disposition of boutique hotel in New York City;
  • Represented developer in connection with $325,000,000 mortgage and mezzanine refinance of Class A office building in New York City;
  • Represented developer in connection with $15,000,000 acquisition of New York City office building as part of an assemblage;
  • Represented lender in connection with origination of $11,500,000 acquisition financing;
  • Represented lender in connection with $30,000,000 acquisition and construction financing in New York City, New York;
  • Represented foreign lender in connection with $8,000,000 subordinate financing;
  • Represented motel developer in connection with $127,000,000 portfolio refinance of motels in over fifteen states;
  • Represented developer in connection with acquisition and development of New York City site for condominium conversion.; and
  • Represented landlords and tenants in office and retail leasing transactions.
