Bruce Coleman is a Partner at MSF and is a member of the Corporate Group. Mr. Coleman has many years of experience representing and acting as an advisor to a wide variety of corporate clients. His experience spans a broad range of business areas, types of transactions and geographic venues, both in the United States and internationally. In addition, Mr. Coleman has acted as an advisor to management of numerous of his clients, many of which were eventually acquired, either by private or public companies, or themselves became public companies.

Representative Matters

Represented a private US purchaser of the EasyLink operating division of AT&T and subsequently merged that business with Xpedite, Inc., a NASDAQ-listed company.

Represented a private Mexican purchaser of Warnaco Inc.’s Nike swimwear and related apparel manufacturing facilities in Mexico.

Represented the founders of Sunbelt Oil & Gas, Inc., a Dallas-based oil and gas production company, in a roll-up transaction involving multiple limited partnership drilling partnerships.  Sunbelt Oil & Gas, Inc. ultimately became Chapman Energy, Inc., a NASDAQ-listed company of which former Texas governor John Connelly became Chairman of the Board.

Acted as outside general counsel for Health Management Systems, Inc., a healthcare information services company, for more than 20 years, when it was both a private and then a public company.  During that period, HMS engaged in numerous M&A and related transactions.

Represented ICTC, Inc., a US public company, in an arbitration in Beijing, China involving a contract dispute with a state-owned joint-venture partner in one of the first such joint-ventures in China with a Western company.

Successfully represented an Objector to a proposed settlement in a shareholder class action litigation involving MAXXAM, Inc., of which Charles Hurwitz, one of the original corporate raiders, was CEO and the controlling shareholder.

Represented Metabolic Pharmaceuticals Ltd., an Australian public company now known as PolyNovo Ltd., in its registration in the US of American Depository Receipts.
